Preamble, Definitions, Interpretation and Legal Effect

These Terms and Conditions (“Terms”) constitute a legally binding agreement between any individual who accesses, downloads, installs, registers on, or otherwise uses the Clora mobile application or any of its features (“User”, “you”, “your”) and Autumn HealthLabs Private Limited, a company incorporated under the Companies Act, 2013, (“Autumn HealthLabs”, “Company”, “we”, “us”, “our”, “Clora”).

The Clora mobile application, together with all associated software, interfaces, application programming interfaces (APIs), dashboards, content, tools, features, and services made available therein, whether now existing or introduced in the future, shall be collectively referred to as the “Platform”.

These Terms govern all usage of the Platform, including but not limited to:

• the artificial intelligence companion known as “Clo”;
• teleconsultation facilitation services;
• menstrual and period tracking functionality;
• in-app marketplace and product purchasing functionality;
• video library and educational content;
• any ancillary or supplementary services.

By accessing or using the Platform in any manner whatsoever, the User expressly acknowledges that they have read, understood, and agreed to be bound by these Terms, the Privacy Policy, and any other policies referenced herein, which are incorporated by reference. If the User does not agree with these Terms, the User must immediately discontinue use of the Platform.

Nature, Character and Limitation of the Platform

The Platform is a technology-enabled facilitation, aggregation, and informational system. Clora is not a healthcare provider, does not practice medicine, does not provide medical diagnosis, does not prescribe medication, does not recommend treatment plans, and does not guarantee medical or health outcomes.

The Platform merely provides technological infrastructure that enables Users to:

• access informational tools;
• interact with an AI-enabled conversational interface;
• discover and communicate with independent healthcare professionals;
• access educational and wellness-related content;
• purchase products listed on the Platform.

All healthcare services, medical advice, diagnoses, treatments, prescriptions, and professional opinions are rendered solely by independent third-party healthcare professionals. All responsibility, liability, and accountability arising therefrom rests exclusively with such professionals.

Autumn HealthLabs does not supervise, control, direct, or influence the professional judgment, conduct, or decision-making of any healthcare professional available on or through the Platform.

Eligibility, Age Requirements, Accounts and User Obligations

Access to and use of the Platform is permitted only for individuals who are eleven (11) years of age or older. Where the User is below eighteen (18) years of age, the User represents and warrants that:

• valid and informed consent has been obtained from a parent or legal guardian;
• such consent authorises use of the Platform and sharing of information;
• such consent is continuous and has not been withdrawn.

Autumn HealthLabs is entitled to rely upon such representations and does not undertake any obligation to independently verify age or consent. The Company expressly disclaims any liability arising from misrepresentation of age, authority, or consent.

To access certain features of the Platform, the User may be required to create an account and provide accurate, complete, and up-to-date information. The User agrees to maintain the confidentiality of login credentials, restrict access to their account, and accept responsibility for all activities conducted through their account.

Autumn HealthLabs shall not be liable for any loss or damage arising from unauthorised access to a User’s account due to the User’s failure to safeguard credentials.

Clo - Artificial Intelligence Companion

Nature, Design and Intended Function of Clo

Clo is an artificial intelligence-enabled conversational interface integrated within the Platform for the limited purpose of providing general informational content, educational explanations, and supportive guidance intended to assist Users in understanding health-related, lifestyle-related, emotional, and general well-being concepts.

Clo operates based on algorithmic models and probabilistic outputs and does not possess clinical judgment, diagnostic capability, contextual awareness equivalent to a human professional, or the ability to independently verify the accuracy or completeness of information shared by the User.

Clo and Medical Advice Disclaimer

Clo does not provide medical advice. Where a User voluntarily shares symptoms, experiences, concerns, or health-related information, Clo may respond with general informational explanations or commonly known self-care or lifestyle guidance only in circumstances where such symptoms are broadly recognised as non-urgent, commonly occurring, and not reasonably indicative of a condition requiring professional medical evaluation.

In any circumstance where symptoms are described as severe, persistent, worsening, abnormal, or potentially indicative of medical risk, Clo is expressly designed to recommend that the User seek professional medical advice from a qualified healthcare provider without delay.

At no point shall any response generated by Clo be construed as a diagnosis, treatment, prescription, medical opinion, or clinical recommendation.

Reliance, Interpretation and User Responsibility

Any reliance placed by the User on responses generated by Clo is undertaken entirely at the User’s own discretion and risk. Autumn HealthLabs expressly disclaims all liability arising from interpretation or misunderstanding of Clo’s responses, actions taken or not taken by the User based on such responses, delay in seeking professional medical care, or any outcomes resulting from reliance on AI-generated content.

Third-Party Artificial Intelligence Infrastructure

Clo utilises artificial intelligence models made available via third-party APIs, including those provided by OpenAI or similar service providers. The underlying AI models are not owned, operated, or controlled by Autumn HealthLabs. Outputs generated by Clo are probabilistic in nature and may contain inaccuracies, omissions, or unintended interpretations.

Autumn HealthLabs makes no representations or warranties, express or implied, regarding the accuracy, completeness, reliability, or suitability of AI-generated responses.

Storage and Processing of Clo Interactions

User interactions with Clo may be stored in encrypted form within Autumn HealthLabs’ controlled infrastructure for purposes including continuity of experience, quality assurance, safety monitoring, and system improvement. Such stored interactions are not shared with OpenAI or any other AI model provider beyond what is technically necessary for real-time response generation and are not used to train external AI models.

Teleconsultation Facilitation Services

Nature and Scope of Teleconsultation on the Platform

The Platform enables Users to discover, connect with, and consult independent healthcare professionals through audio, video, or chat-based communication mediums (“Teleconsultation”). Teleconsultation services are not provided by Autumn HealthLabs.

All teleconsultations are conducted by independent, licensed healthcare professionals who are solely responsible for the medical advice, opinions, diagnoses, treatments, prescriptions, and recommendations provided during such consultations. Autumn HealthLabs acts only as a technology facilitator, providing infrastructure for discovery, scheduling, communication, and payment processing, and does not exercise any control over the content, quality, timing, or outcome of teleconsultations.

Independent Status of Healthcare Professionals

Healthcare professionals accessible through the Platform are independent third parties and are not employees, agents, partners, or representatives of Autumn HealthLabs. Each healthcare professional is solely responsible for:

• the accuracy and appropriateness of advice provided;
• compliance with applicable medical laws, regulations, and professional standards;
• maintaining valid licenses and registrations;
• their own acts, omissions, and professional conduct.

Autumn HealthLabs does not verify, validate, or guarantee medical outcomes and shall not be liable for any consequences arising from professional services rendered by healthcare professionals.

Limitations and User Responsibilities

The User acknowledges and agrees that teleconsultation:

• has inherent limitations due to the absence of physical examination;
• may not be appropriate for all medical conditions;
• may require subsequent in-person consultation or diagnostic testing.

The Platform is not intended for emergency medical situations, and Users must seek immediate emergency services where required. The User is solely responsible for providing accurate, complete, and truthful information to healthcare professionals, following professional advice at their own discretion, and deciding whether and when to seek in-person medical care.

Period Tracker and Menstrual Health Features

The period tracker feature is an informational tool designed to assist Users in tracking menstrual cycles and related patterns based on data voluntarily provided by the User. Any predictions, estimates, reminders, or insights generated by the tracker are algorithmic in nature, based on historical inputs, and indicative only.

The User expressly acknowledges that menstrual cycles can vary due to numerous biological, environmental, and personal factors. Autumn HealthLabs does not guarantee accuracy of predictions, consistency of cycles, prevention of pregnancy, or detection of medical conditions.

The period tracker does not constitute medical advice and must not be relied upon for clinical, contraceptive, fertility, or diagnostic decisions. The User assumes full responsibility for any decisions made based on period tracker outputs, including lifestyle choices, planning decisions, or health-related actions.

Video Library and Educational Content

The Platform may offer access to videos, articles, guides, and other educational materials related to health, wellness, lifestyle, and general awareness (“Educational Content”). Such content is provided solely for informational and educational purposes and is not intended to substitute professional advice.

Educational Content does not constitute medical, legal, psychological, or professional advice. Users must consult appropriate professionals before acting on any information contained in Educational Content.

Educational Content may be created by Autumn HealthLabs, third-party contributors, healthcare professionals, or content partners. Autumn HealthLabs does not guarantee the accuracy or currency of third-party content and shall not be liable for reliance placed upon such materials.

In-App Marketplace and Product Purchases

The Platform includes an in-app marketplace enabling Users to browse and purchase health, wellness, and lifestyle products. Clora operates as a technology-enabled marketplace and payment facilitator, enabling transactions between Users and sellers or brand partners.

Autumn HealthLabs may facilitate payments, order processing, and customer communication but does not manufacture products or guarantee their suitability. Product descriptions, claims, images, and specifications are provided by sellers or brand partners.

Autumn HealthLabs does not independently verify product claims and disclaims liability for inaccuracies, misrepresentations, or outcomes associated with product usage. Users are solely responsible for reviewing product information, determining suitability, and following usage instructions.

Payments for products may be collected and processed by Autumn HealthLabs on behalf of sellers through third-party payment gateways. While Autumn HealthLabs facilitates payment flow, responsibility for product fulfillment, quality, and post-sale obligations rests with the respective seller, subject to applicable laws.

Pricing, Fees, Payment Failures, Availability and Interruptions

All prices displayed on the Platform are determined by healthcare professionals, sellers, or brand partners unless explicitly stated otherwise. Autumn HealthLabs shall not be responsible for pricing errors, payment failures, banking delays, or technical issues attributable to third-party payment processors.

The Platform is provided on an “as available” and “as is” basis. Autumn HealthLabs does not guarantee uninterrupted, continuous, or error-free access to the Platform or any of its features.

The Company reserves the right, at its sole discretion, to modify, suspend, restrict, discontinue, or withdraw any part of the Platform, whether temporarily or permanently, with or without prior notice, including features related to Clo, teleconsultation, period tracking, educational content, or the in-app marketplace.

Autumn HealthLabs shall not be liable for any loss, inconvenience, data loss, or damage arising from service interruptions, maintenance activities, system upgrades, network failures, third-party outages, or circumstances beyond its reasonable control.

User Conduct, Misuse and Prohibited Activities

The User agrees to use the Platform strictly for lawful purposes and in compliance with these Terms and applicable laws. The User shall not engage in any conduct that:

• violates applicable laws or regulations;
• infringes intellectual property or privacy rights;
• harasses, abuses, threatens, or defames any person;
• interferes with the functioning, security, or integrity of the Platform;
• attempts unauthorised access to systems or data;
• misuses healthcare services or impersonates professionals.

Autumn HealthLabs reserves the right to investigate suspected misuse and take appropriate action, including suspension or termination of access, without notice.

Intellectual Property, Data Usage, Liability and Indemnity

Intellectual Property Rights

All intellectual property associated with the Platform, including but not limited to software code, algorithms, databases, content, text, graphics, logos, trademarks, and brand elements, is owned by or licensed to Autumn HealthLabs.

No right, title, or interest is transferred to the User except for a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. Any unauthorised use, reproduction, modification, or distribution of intellectual property is strictly prohibited.

Data Usage and Policy Cross-Reference

Collection, storage, processing, and usage of personal data are governed by the Privacy Policy of Clora, which forms an integral part of these Terms. The User acknowledges that use of the Platform constitutes acceptance of the Privacy Policy and any updates thereto.

Limitation of Liability

To the maximum extent permitted by applicable law, Autumn HealthLabs shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, reputational harm, or personal dissatisfaction.

Without limitation, Autumn HealthLabs disclaims liability for:

• medical outcomes resulting from teleconsultation;
• reliance on Clo or AI-generated responses;
• inaccuracies in period tracker predictions;
• educational content interpretation;
• third-party product quality or efficacy;
• acts or omissions of healthcare professionals, sellers, or partners.

The User expressly agrees that use of the Platform is at their sole risk.

Indemnity

The User agrees to indemnify, defend, and hold harmless Autumn HealthLabs, its directors, officers, employees, affiliates, and partners from and against any claims, damages, losses, liabilities, costs, or expenses arising out of or related to misuse of the Platform, violation of these Terms, reliance on AI-generated or professional content, infringement of third-party rights, or any act or omission attributable to the User.
